The terms and conditions governing your use of our website and services

1. Acceptance of Terms

These Terms of Service, together with our Privacy Policy and any other documents expressly incorporated by reference (collectively, these Terms), govern your access to and use of the website located at raviolikitchen.buzz (the Website) and the services provided by Biada Ravioli Kitchen LLC, doing business as Ravioli Kitchen (Ravioli Kitchen, we, us, or our), including but not limited to our technology consulting, digital transformation, cloud infrastructure, data analytics, and related professional services (collectively, the Services).

By accessing or using the Website or by engaging us to provide Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Website or Services on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization or entity to these Terms, and in such case, you and your shall refer to that organization or entity. If you do not agree to these Terms, you must not access or use the Website or engage our Services.

We reserve the right to modify or update these Terms at any time in our sole discretion. When we make changes, we will revise the Last Updated date at the top of this page. In the case of material changes, we will provide additional notice by posting a prominent notice on the Website or by sending you an email notification. Your continued use of the Website or Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you.

2. Services Description

Ravioli Kitchen provides food-tech and information technology consulting services to restaurants, food brands, hospitality groups, and related businesses. Our services include, but are not limited to, technology strategy and roadmapping, technology audits and assessments, vendor selection and procurement support, digital transformation planning and implementation, custom software development, system integration, website and mobile application development, cloud migration and infrastructure management, cybersecurity assessment and PCI compliance consulting, data analytics and business intelligence, AI and machine learning solutions, and ongoing technology support and maintenance.

The specific scope, deliverables, timeline, and fees for any Services engagement will be set forth in a separate written agreement, statement of work, or proposal (each, a Service Agreement) executed by both you and Ravioli Kitchen. In the event of any conflict between these Terms and a Service Agreement, the Service Agreement will govern with respect to the specific Services described therein. Ravioli Kitchen reserves the right to refuse to provide Services to any person or entity for any reason permitted by applicable law.

3. Use of the Website

You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to use the Website in any way that violates any applicable federal, state, local, or international law or regulation, or in any way that could disable, overburden, damage, or impair the Website or interfere with any other party's use of the Website. You agree not to use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website, without our prior written consent.

We reserve the right to withdraw or amend the Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to users. You are responsible for ensuring that all persons who access the Website through your internet connection are aware of these Terms and comply with them.

4. Intellectual Property Rights

The Website and its entire contents, features, and functionality, including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof (collectively, the Content), are owned by Ravioli Kitchen, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content except as follows: your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials; you may store files that are automatically cached by your web browser for display enhancement purposes; you may print one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution. You must not delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this Website.

With respect to custom software, deliverables, and work product created by Ravioli Kitchen in the course of providing Services to you, ownership and intellectual property rights will be governed by the terms of the applicable Service Agreement. Unless otherwise agreed in writing, Ravioli Kitchen retains ownership of all pre-existing materials, tools, methodologies, and intellectual property that we use or develop in the course of providing Services.

5. Client Obligations

When you engage Ravioli Kitchen to provide Services, you agree to cooperate with us in good faith and to provide us with all information, access, and resources reasonably necessary for us to perform the Services. This includes, but is not limited to, providing timely access to your personnel, systems, data, and facilities as needed; providing accurate and complete information about your requirements and business operations; reviewing and responding to our deliverables and inquiries in a timely manner; and fulfilling any client responsibilities specified in the applicable Service Agreement.

You represent and warrant that you have all necessary rights, licenses, and permissions to provide us with any data, materials, or content you share with us in connection with the Services, and that our use of such data, materials, or content in accordance with the Service Agreement will not violate any applicable law or infringe the intellectual property rights of any third party. You agree to indemnify and hold harmless Ravioli Kitchen from and against any claims, damages, liabilities, costs, and expenses arising from your breach of this representation.

6. Fees and Payment

The fees for our Services will be set forth in the applicable Service Agreement or proposal. Unless otherwise specified in the Service Agreement, fees are quoted and payable in United States dollars. We may require an advance deposit or retainer before commencing work, particularly for new client engagements. Payment terms, including due dates and accepted payment methods, will be specified in the Service Agreement or on our invoices. All fees are exclusive of applicable taxes, which will be your responsibility unless you provide us with a valid tax exemption certificate.

Late payments may be subject to interest charges at the rate of one and one-half percent per month, or the maximum rate permitted by applicable law, whichever is lower. You agree to reimburse us for all reasonable costs and expenses, including attorneys fees, that we incur in collecting any overdue amounts. If you dispute any portion of an invoice in good faith, you must notify us in writing within ten business days of receiving the invoice, specifying the nature and amount of the dispute. You remain obligated to pay the undisputed portion of the invoice by the due date.

7. Confidentiality

In the course of providing Services, each party may receive or have access to confidential information of the other party. Confidential Information means any information, in any form, that the disclosing party designates as confidential or that, under the circumstances of disclosure, the receiving party should reasonably understand to be confidential. Confidential Information includes, but is not limited to, trade secrets, business plans, financial information, customer data, technical specifications, source code, and proprietary methodologies.

Each party agrees to hold the other party's Confidential Information in strict confidence, to use it only for the purpose of performing obligations or exercising rights under these Terms and the applicable Service Agreement, and not to disclose it to any third party without the disclosing party's prior written consent, except to employees, contractors, and advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this section. These confidentiality obligations do not apply to information that is or becomes publicly known through no breach of this section, is independently developed by the receiving party without use of the disclosing party's Confidential Information, or is rightfully obtained by the receiving party from a third party without restriction.

8. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Ravioli Kitchen, its affiliates, or their respective officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or cost of substitute services, arising out of or in connection with these Terms, the Website, or the Services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, Ravioli Kitchen's total aggregate liability for all claims arising out of or relating to these Terms, the Website, or the Services, whether in contract, tort, or otherwise, shall not exceed the greater of (a) the total fees paid by you to Ravioli Kitchen during the twelve-month period preceding the event giving rise to the claim, or (b) one thousand dollars. The limitations of liability set forth in this section shall apply notwithstanding the failure of essential purpose of any limited remedy. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above exclusions and limitations may not apply to you.

9. Disclaimer of Warranties

The Website and all Content, materials, and information provided on or through the Website are provided on an as is and as available basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Ravioli Kitchen disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, secure, or free from viruses or other harmful components, or that any defects or errors will be corrected.

With respect to our Services, we warrant that we will perform the Services in a professional and workmanlike manner, in accordance with generally accepted industry standards. Our sole obligation and your exclusive remedy for any breach of this warranty will be, at our option, to re-perform the non-conforming Services or to refund the fees paid for the non-conforming Services. This limited warranty applies only if you notify us of the non-conformance within thirty days of the delivery of the applicable Services. Except as expressly set forth in the applicable Service Agreement, we make no other warranties with respect to the Services, and all Services are provided on an as is basis.

10. Indemnification

You agree to defend, indemnify, and hold harmless Ravioli Kitchen, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys fees, arising out of or relating to your violation of these Terms, your use of the Website or Services, your infringement of any intellectual property or other right of any third party, any content or materials you provide to us, or your violation of any applicable law or regulation. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

11. Termination

Either party may terminate a Service Agreement in accordance with the termination provisions set forth therein. In the absence of a specific termination clause in the Service Agreement, either party may terminate a Service Agreement for convenience upon thirty days written notice to the other party. Either party may terminate a Service Agreement immediately upon written notice if the other party commits a material breach of the Service Agreement or these Terms and fails to cure that breach within fifteen days after receiving written notice describing the breach.

We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Website will immediately cease. The provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Upon termination of a Service Agreement, you will pay us for all Services performed and all expenses incurred through the effective date of termination.

12. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the federal or state courts located in Kings County, New York. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Before initiating any formal legal action, the parties agree to first attempt to resolve any dispute informally through good-faith negotiation. If a dispute cannot be resolved through negotiation within thirty days, either party may pursue any remedies available at law or in equity, subject to the exclusive jurisdiction and venue provisions set forth in this section.

13. General Provisions

These Terms, together with the applicable Service Agreement and any other documents incorporated by reference, constitute the entire agreement between you and Ravioli Kitchen concerning the Website and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the same subject matter. No waiver by Ravioli Kitchen of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Ravioli Kitchen to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect. These Terms do not, and shall not be construed to, create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between the parties. Headings are for reference only and shall not affect the interpretation of these Terms.

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of all or substantially all of our assets. These Terms are binding upon and shall inure to the benefit of the parties and their respective successors and permitted assigns.
